The Core TT Africa hub based in Johannesburg deals with some of sub-Saharan Africa’s largest corporate and private equity clients as well as specifically focussing on the areas of the M&A market that are developing the quickest. Our practice is comprised of a dedicated team focused on the tax aspects of corporate and private equity acquisitions, dispositions, restructurings and capital market transactions in a pan-African context with particular emphasis on M&A transactions in the South African market. As a Manager in our team, we’ll look to you to apply your knowledge to a wide range of tax areas, devising strategic outcomes to complex issues, including domestic South African and cross-border tax strategies. You will get wide-ranging experience in all the core areas of transactional work in a sub-Saharan Africa setting – including corporate deals, private equity, infrastructure and clean-tech, distressed debt and turnaround transactions and restructuring. As deal advisers, TT team members not only get deep South African tax technical experience but also a commercial understanding of what is important to our clients in a deal context. As a large part of TT work is cross-border, you will be exposed to international structuring techniques and the tax regimes of key investment destinations on the continent.

Qualifications:

Your key responsibilities

As a Manager you will be a member of the team developing and implementing transactions. You’ll spend your time on a diverse array of project and clients in a highly collaborative culture. We’ll look to you to develop relationships with our clients and team effectively with internal resources while developing and coaching junior members of the team.

Your key responsibilities

  • Serve as a member of multiple client engagement teams, participating in due diligence and structuring engagements related to transactions for private equity and strategic corporate clients

  • Assist in the review and analysis of merger agreements and drafting opinion letters and ruling applications

  • Identify and analyse tax risks and opportunities while advising on alternative tax strategies for acquisition, disposition, and restructuring of businesses

  • Review, assess, and advise clients regarding tax computations reflected in their financial models; and assist clients in the quantitative and qualitative analysis of the tax data in their financial projections for the transaction

  • Engage in business development initiatives

  • Retain responsibility for managing engagement economics

  • Provide guidance and mentorship to staff level engagement team members

To qualify for the role you must have

  • LLB or honours degree (Accounting, Taxation, Economics or Business Science preferable) and at least 4 years of relevant work experience; or a relevant graduate degree and at least 3 years of related work experience

  • CA or Attorney certification preferable

  • Higher diploma in International Tax and/or CFA qualification will be a bonus

  • Tax due diligence, deal structuring and post-acquisition planning experience from a large practice or law firm

  • Strong tax technical skills

  • Strong writing, research, analytical, leadership and organizational skills

  • Ability to effectively team and interact with clients and practice leaders

  • Willingness and ability to travel, when necessary

  • Excellent communication skills in a range of situations

  • Experience of coaching and developing junior staff
