Legal Managed Services (LMS) is one of the fastest growing segments of the legal services market, estimated to be worth over USD3bn. The investment in legal managed services is at the center of the growth strategy for EY Law. As a Senior, you’ll be at the heart of that goal. EY Legal Managed Services (LMS) is an exciting new global business line for EY LLP. The opportunity

  • Reviewing, drafting and negotiating a variety of OTC trading documents (English and/or New York Law, as applicable) including but not limited to: ISDA Master Agreements (and ancillary documents), Credit Support Annexes, GMRAs, MRAs, GMLSAs, MSLAs, MSFTAs, Prime Brokerage documentation (including prime brokerage agreements and ancillary agreements), futures or clearing agreements. Experience with current regulations, such as Uniform Margin Rules, a plus

  • Reviewing formation documents, netting, collateral and capacity opinions, as may be required, as well as assisting with drafting additional bespoke provisions for particular jurisdictions or counterparty types.

  • Experience or familiarity with other forms of financing documents (e.g., loan agreements, including syndicated loans, commercial paper, bond offering documents and indentures, etc.) and a general understanding of how various parts fit within a capital structure.

  • Staying informed of business and regulatory developments which may impact our clients’ businesses.

  • Liaising with relevant internal stakeholders (including, but not limited to, trading, sales, credit, treasury, tax, legal) during negotiation process.

  • Keeping work in progress records up to date and disseminating information regarding executed documents.

Your key responsibilities

Ideal candidates for this position should competently demonstrate the following:

  • A proven record of completing complex documentation within very tight time deadlines.

  • Ability to work in a fast-paced, high-volume environment.

  • Ability to multi-task, meticulous attention to detail and strong analytical, drafting, abilities.

  • Excellent client service and internal coordination skills as part of a project team with a particular mandate.

  • Have excellent interpersonal, oral and communication and organizational skills to work quickly and efficiently to achieve results.

  • Have a pro-active, ‘can-do’ attitude towards their work.

To qualify for the role you must have

  • Bachelors’ Degree required in related field; J.D. preferred

  • Active state bar membership preferred

  • Experience reviewing, drafting and negotiating OTC trading documents (minimum 3 years’ experience)

  • Strong analytical skills, written/verbal communication skills, interpersonal; problem-solving ability and attention to detail

  • Commitment to learning in a tax technology environment and proficient knowledge of automated tax processing systems and Microsoft Office
