The opportunity

EY Canada is looking for an experienced candidate to join its General Counsel’s Office. We are a team of in-house lawyers and staff based at EY Canada’s head office in downtown Toronto, although currently working from home. You will perform corporate law clerk functions including maintaining minute books, preparing director/shareholder resolutions, conducting searches and maintaining corporate & regulatory registrations.

In addition, you will assist with commercial contracting matters in support of EY Canadas professional services business. Candidates should be positive and solution-oriented, with strong analytical and drafting skills.

Your key responsibilities

  • Maintain corporate records for our various legal entities, including minute books, annual resolutions and ancillary documentation

  • Prepare various provincial filings and ensure they are filed on a timely basis with the appropriate registry, including being able to e-file filings with applicable registries

  • Draft and file articles of incorporation, amendment, amalgamation, dissolution, business name registrations, etc., as needed

  • Assist with regulatory filings/permits, registrations & business licenses, & requests from regulators

  • Assist with Ernst & Young Global membership documentation requirements

  • Perform legal and non-legal research and undertake ad-hoc projects

  • Serve as initial point of contact for certain internal requests for legal assistance and triage of internal requests

  • Support internal EY lawyers in the reviewing, editing, and negotiation of certain common agreements, such as confidentiality agreements, waiver letters, engagement letters, subcontractor agreements & procurement agreements

  • Review request for proposals (RFPs), client questionnaires and related documents and direct internal business teams to appropriate responses & resources

  • Maintain internal contract databases, tools & templates and field requests for template documents and standard internal guidance

  • Coordinate insurance matters, including insurance filings & insurance certificates

  • Respond to access to information requests

To qualify for the role, you must have

  • Post-secondary education, or Paralegal certification or diploma, or ILCO certification

  • Minimum 2-3 years of relevant experience

  • Current knowledge of corporate law requirements associated with maintenance of corporate records and appropriate filings (i.e. OBCA, CBCA, etc.)

  • Strong organizational skills and attention to detail

  • Be motivated and proactive, with ability to prioritize and effectively meet deadlines

  • Excellent analytical and problem-solving skills with a focus on exceptional client service

  • A professional approach & excellent oral and written English communication skills.

  • Proficiency with common applications and online tools (i.e. MS Word, Excel, PowerPoint, SharePoint)
